for the Application for and Participation in the GET UP course.

The following terms and conditions (“Terms and Conditions“) apply to your application for and participation in the GET UP training event (the “Event“) in addition to any additional or specific rules or conditions notified to you in respect of the Event. By submitting your application, you agree to be bound by these Terms and Conditions.

    1. The Event
      • The Event is a training course and seminar aimed at young gynaecologists at the beginning of their surgical career. It is designed to provide theoretical and practical aspects of laparoscopy and hysteroscopy.
      • The Event will take place in the premises of the Fondazione Policlinico Universitario Agostino Gemelli in Rome (Italy) from 01st to 04th April 2020.
      • The Event is operated and organized by OLYMPUS EUROPA SE & CO. KG, Wendenstraße 20, 20097 Hamburg, Germany (“OLYMPUS“, “we“, “our“, “us“) under scientific direction of Professor Dr. Hans Brölmann (“Scientific Director“).
    1. Eligibility
        The Event is open to physicians from Europe who are (i) in their last year of their specialist medical training as a gynaecologist or (ii) in their first professional year after having finished their specialist medical training as a gynaecologist. Fluency in English is required.
    1. Application
      • Application will be open from 00.00am Central European Time (CET) on 7th October 2019 to 11.59pm CET on 15th December 2019 (“Entry Period“). The Entry Period may be extended unilaterally by OLYMPUS.
      • To apply for participation in the Event you have to visit the registration website www.get-up-gyn.eu and complete the registration process as follows:
        • Enter your name, phone number, place of employment, date of birth and contact data such as email address and mobile number in the registration form,
        • Upload the following documents (“Application Documents“):
          • (a) Letter from the head of your department or head of residency training stating that you are (i) in your last year of your specialist medical training as a gynaecologist or (ii) in your first professional year after having finished your specialist medical training as a gynaecologist; and
          • (b) Proof of membership in a society of endoscopy, list of publications in the endoscopic field, and/or participant’s certificate of endoscopic course if applicable.
      • One “Entry” (each completed registration in accordance with Sec. (a) and (b) above) per applicant permitted. Multiple Entries will be excluded from the application process. By submitting an Entry, the applicant represents and warrants that all information and documents submitted as part of an Entry are true, correct, complete and up-to-date. OLYMPUS may refuse an Entry which is untrue, incomplete, invalid, fraudulent, manipulative or misrepresenting.
    1. Selection of Participants
      • Only complete and valid Entries are eligible for participation. If more than 100 complete and valid Entries are submitted, the Scientific Director will select the participants on the basis of the Application Documents. The decision of the Scientific Director is final; recourse to the courts is excluded.
      • All applicants will be notified of invitation to the GET UP course or rejection via email by 14th January 2020 (“Notification Period”). The Notification Period may be extended by OLYMPUS. OLYMPUS will use best endeavors to inform applicants about any such extension and take the reasonable interests of the participants into due account.
      • Applicants who have been invited to participate in the Event will be required to confirm their participation in writing by replying to the invitation email no later than by the date indicated in the invitation email (“Confirmation Date“). The invitation will become null and void if OLYMPUS does not receive an applicant´s confirmation by the Confirmation Date.
      • OLYMPUS may require a participant to submit further documentation in order to participate in the Event (i.e. employer approval/official approval). OLYMPUS reserves the right to cancel an invitation and select an alternative participant in the event that
        • a participant fails to provide such additional documentation as may be required necessary written approvals (e.g. employer approval);
        • a participant does not agree to the OLYMPUS Compliance Guidelines for travel and accommodation expenses as disclosed to each participant prior to the Event;
        • OLYMPUS and/or the Scientific Director has reason to believe that a participant is in breach of these Terms and Conditions;
        • OLYMPUS and/or the Scientific Director establish that an Entry or parts of an Entry are untrue, incomplete, invalid, fraudulent, manipulative or misrepresenting.
      • An invitation to the Event is non-transferable or convertible to cash or other substitutes. Participation in the Event may only be cancelled by the Participant himself/herself.
      • The selection of participants is independent of past or potential sales, transactions and other commercial activities, in particular related to the procurement, lease, recommendation and use of OLYMPUS products by the Participant and his/her employer. By submitting an Entry, the applicant confirms that no pertinent expectations exist.
    1. Travel Arrangements
      • OLYMPUS will not reimburse any travel cost. OLYMPUS reserved rooms on call in the Courtyard Rome Central and the Hotel Excel Montemario to a agreed rate.
    1. Cancellation
      • OLYMPUS reserves the right to cancel the Event at any time in its sole discretion. In the event of a cancellation, OLYMPUS will inform the participations without undue delay via email (“Cancellation Notice“).
    1. Intellectual Property and Personality Rights
      • OLYMPUS may take photographic pictures/video imagery during the Event (“Material“). By participating in the Event, you acknowledge and agree that OLYMPUS may use the Material which may include your likeness and image for (i) training, demonstration and scientific purposes, including the presentation of the Material on conferences and seminars and (ii) for marketing and advertising purposes solely on the OLYMPUS websites and in OLYMPUS brochures, catalogues and other print material.
      • Any intellectual property in documents or materials provided to you in the course of the Event shall remain with OLYMPUS and/or the respective rights holder. Each participant shall be granted the non-exclusive, non-transferable, non-sub-licensable right to use such documents and materials solely for own educational purposes. The right to publish, distribute, make publicly available or modify such documents and materials is expressly excluded.
    1. Liability
      • OLYMPUS shall be liable without limitation for (i) damages to life, health and body, (ii) intent and gross negligence and (iii) and in all cases of strict liability which cannot be excluded by these Terms and Conditions. In all other cases, OLYMPUS´ liability – regardless of its legal basis – shall be limited as follows:
        • OLYMPUS´ liability for damages caused by the grossly negligent conduct of a vicarious agent of OLYMPUS shall be limited to those damages which are typically to be expected.
        • OLYMPUS´ liability for damages arising out of a breach of a contractual duty which makes the proper implementation of the contract possible in the first place and the observance of which the customer may regularly rely on(“Cardinal Duty”); shall be limited to the typically occurring damages which have been foreseeable at the time of the conclusion of the contract.
      • The limitations stipulated in this Clause 8 shall not apply in case OLYMPUS has fraudulently concealed a defect or has assumed a guarantee for the properties of an item.
      • OLYMPUS has chosen the Scientific Director with appropriate care and diligence. The Scientific Director is responsible for the contents and agenda of the Event and its speaker/trainer personnel. OLYMPUS excludes any liability for the speaker/trainer personnel and the content they provide in the course of the Event. In particular, nothing in these terms shall be construed as a guarantee or assurance that a participant will be able to conduct advanced minimally invasive surgery procedures after having attended the Event.
    1. Data Protection
        Personal data obtained in the course of the application and/or participation procedure will be collected and processed in accordance with all applicable laws and regulations and the Privacy Policy (see next page).
  1. General
    • These Terms and Conditions shall be governed by and construed in accordance with German law and any dispute arising out of or in connection with this Agreement shall be subject to the non-exclusive jurisdiction of the courts of Hamburg, Germany.
    • In the event that a provision of these Terms and Conditions is found to be ineffective, the ineffective provision shall be replaced by an effective provision that reflects the legal and economic intent of the ineffective provision in the best possible way. The same applies to gaps in these Terms and Conditions.
